Terms of Service

1. Acceptance of Terms

By accessing or using SunSlate (the "Service"), available at sunslate.app, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use the Service. We may update these Terms at any time; continued use after changes constitutes acceptance.

2. Description of Service

SunSlate is a web-based film production management platform that provides tools for location scouting, script breakdowns, crew management, scheduling, budget tracking, and AI-powered production assistance. The Service includes AI features powered by third-party providers including OpenAI and Google.

3. Account Registration

You must create an account to use certain features of the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information during registration and to update it as necessary.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws.
  • Attempt to gain unauthorized access to any part of the Service, other accounts, or related systems.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Upload or transmit viruses, malware, or other harmful code.
  • Use the Service to generate content that is illegal, defamatory, or infringes on third-party rights.
  • Resell, sublicense, or redistribute the Service without our written consent.
  • Abuse AI features by submitting excessive, automated, or adversarial requests.

5. User Content

You retain ownership of all content you upload to SunSlate, including scripts, locations, schedules, and crew data ("User Content"). By uploading User Content, you grant us a limited, non-exclusive license to process, store, and display it solely to provide the Service. We will not sell or share your User Content with third parties except as described in our Privacy Policy.

6. AI Features & Third-Party Services

Certain features of SunSlate use artificial intelligence provided by OpenAI and Google. AI-generated outputs (location suggestions, script breakdowns, command bar responses) are provided "as-is" and may not be accurate. You are responsible for reviewing and verifying all AI-generated content before relying on it for production decisions. We are not liable for actions taken based on AI outputs.

7. SMS & Mobile Messaging

SunSlate uses SMS (text messaging) to deliver transactional notifications related to your film productions, including call sheets, shoot-day reminders, weather alerts, crew announcements, and attendance confirmation links. SunSlate does not send marketing or promotional SMS.

  • You opt in to SMS by adding your phone number to your SunSlate profile or by submitting it through the in-app SMS opt-in prompt. By submitting your number, you agree to receive transactional SMS messages from SunSlate.
  • Message frequency varies based on your production schedule.
  • Message and data rates may apply, as set by your mobile carrier.
  • Reply STOP to any SunSlate SMS to opt out at any time. Reply HELP for help.
  • Mobile information and messaging consent are not shared with third parties or affiliates for marketing or promotional purposes. See our Privacy Policy for details on how SMS data is handled.
  • SunSlate is not liable for delivery delays, undeliverable messages, or messaging fees imposed by your carrier.

8. Fees & Payment

SunSlate currently offers free access. We reserve the right to introduce paid plans or features in the future. If we do, we will provide advance notice and you will not be charged without your explicit consent.

9. Intellectual Property

The Service, including its design, code, features, and branding, is owned by SunSlate and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent.

10. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. You may delete your account at any time. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and indemnification) will survive.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUNSLATE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

13. Indemnification

You agree to indemnify and hold harmless SunSlate, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Los Angeles County, California.
